Terms of Service

1. Acceptance of Terms

By accessing or using Quota ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Quota provides dollar-denominated billing infrastructure for AI applications. The Service allows developers to track and bill AI usage through a unified API, with per-user wallets and multi-provider support.

3. Account Registration

You must register for an account to use the Service. You are responsible for maintaining the security of your account and API keys. You are responsible for all activities that occur under your account.

4. Balance and Payment

  • Balance is purchased in advance via tiered dollar packages and deducted as you use the Service
  • Balances are denominated in US dollars and are fungible across all Quota-integrated applications
  • Purchased balance is non-refundable except as required by law
  • Unused balance does not expire

5. Developer Payouts and Stripe Connect

Developers who integrate Quota may earn revenue through markup on AI usage. The following terms apply to developer payouts:

  • Developers connect a Stripe account via Stripe Connect to receive payouts
  • Payouts are subject to a 7-day delay after usage for chargeback protection
  • A 10% rolling reserve is withheld from each payout and released after 90 days
  • If a chargeback occurs after payout, the amount may be deducted from the developer's rolling reserve or future earnings
  • Quota reserves the right to pause or withhold payouts if fraudulent activity is suspected
  • Developers keep 100% of their configured markup with no platform fee

6. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Attempt to bypass rate limits or security measures
  • Share API keys or allow unauthorized access
  • Reverse engineer or attempt to extract source code

7. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. We may perform maintenance with reasonable notice when possible.

8. Limitation of Liability

To the maximum extent permitted by law, Quota shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service.

9. Changes to Terms

We may modify these terms at any time. Continued use of the Service after changes constitutes acceptance of the new terms.
